Memorandum regarding Pay of Officers required under
the China (Companies) Order in Council.

The only officer mentioned in the draft Order is the Registrar; but on the analogy of the Registrar of Shipping it may be taken for granted that the registrar of companies will have the assistance of one of the Consulare staff as deputy; and, at the meetings at the Foreign Office in 1913 it was agreed that he will also be entitled in legal matters to invoke the assistance of His Majesty's Crow Advocate, who will naturally be his Counsel when prosecutions have to be instituted under the order.
I understand, that, while all the fees received at the Shanghai Registry are to be paid direct to the Hongkong Government, the Colony is to contribute towards the cost of that Registry; and, as the work to be done will be considerable, I conclude that the services of the three officers the Registrar, his deputy, and the Crown Advocate will be remunerated by or out of the contribut-
-ion made by the Colony.

The amount of that contribution would naturally be measured by the cost to the Colony of maintaining a registry at Shanghai, ▲ such a registry would be subordinate to the Hongkong Registry, it is fair to reckon that it would be served by a deputy registrar only, whose salary might be estimated at a minimum of 2600 a year, probably in view of local conditions, with an allow -ance for quarters of at least £100 a year.
This officer's office expenses need not be taken into account if, as would be most convenient, the Colony should agree to supplying all requisite registers, forms and other stationery and also pay the postage and petty expenses of the Shanghai Registry. In its contribution should, however, be included some amount for the use of an office and office servants, typewriter etc., for no room would have been available in these office premises for such a
registry.
